What is the procedure for the payment of dividends and interest on capital of Itaú Unibanco?

Since July 1980, Itaú Unibanco has been remunerating its stockholders through monthly and additional payments, the latter historically occurring every six months and distributed equally to common and preferred stockholders.

The amount of R$ 0.015 per share is paid based on the stockholding position on the last trading session of the month prior to the month of accrual on B3 – Brasil, Bolsa, Balcão S.A. (“B3”), and the payment is made on the first business day of the month subsequent to the month of accrual. The monthly payment is made as an advance of the distribution that is to be made following the determination of the annual Balance Sheet.

Additional Payments

Additional payments may be made either as dividends or interest on capital. As a general rule, semiannual payments are made after the closing of the financial stetaments as at June 30 and December 31, respectively, by resolution of the Board of Directors. The Board of Directors determines the base date for the stockholding position and payment date.

Stockholders are entitled to receive as a mandatory dividend each year at least twenty-five percent (25%) of the profit determined in the same year, adjusted by the addition or deduction of the amounts specified in itens “a” and “b” of Article 202 of Brazilian Corporate Law, and in compliance with items II and III thereof. The total amount to be distributed each year will be set by the Board of Directors, considering, among others:

  •   • The Company’s capitalization level, according to rules defined by the Central Bank of Brazil;
  •   • The minimum level of common equity tier 1 (CET1) capital determined by the Board of Directors at 12.0%;
  •   • Profitability in the year;
  •   • The prospects of capital use based on the expected business growth, share buyback programs, mergers and acquisitions, and market and •  regulatory changes that may change capital requirement; and
  •   • Changes in tax treatment

Therefore, the percentage to be distributed may vary year-on-year based on the Company’s profitability and capital requirements, in addition to extraordinary events, such as changes in current regulations or legal and regulatory demands, but always taking into consideration the minimum amount provided for in its Bylaws.

In accordance with the legislation in force, the stockholder’s right to claim dividends lapses within three (3) years after the date when they are made available to stockholders.

The payments of the amounts due will be made in accordance with the custody of the shares described below:

Stockholders with shares not deposited in fiduciary custody accounts of B3 – Brasil, Bolsa, Balcão S.A. (“B3” ) and current accounts registered with Itaú Unibanco: the payment will be made through direct credits to the respective current accounts;

Stockholders with shares not deposited in fiduciary custody accounts of B3  and with current accounts in other banks who have notified details of bank/branch/current account: the payment will be made via bank transfer, according to the respective amounts;

Stockholders whose shares are deposited in fiduciary custody accounts of B3: the payment will be made directly to the Central Depositary of B3 , which will be responsible for transferring them to the stockholders, through the depositary Brokers; and

Stockholders not falling under the items above: they should contact our Stockholder Service Department – (+55 11) 3003-9285 (capital cities and metropolitan areas) and (+55 11) 0800 7209285 (other locations), from Monday to Friday, from 9 a.m. to 6 p.m.

American Depositary Receipt (ADR) holders: the payment will be made through B3 (B3 S.A. – Brasil, Bolsa, Balcão) to the custodian bank and then transferred to the overseas depositary bank – JP Morgan – which will transfer the amounts to stockholders within an approximately ten (10) days from date of the payment in Brazil.

The Dividend Reinvestment Program was created in 2004 as an additional benefit to Itaú Unibanco’s stockholders, allowing the automatic investment of dividends and/or interest on capital in the purchase of the Company’s preferred or common shares. Any stockholder may participate in the Dividend Reinvestment Program as an Itaú Unibanco S.A. current account holder, whether they are an individual or a corporate entity and over 18 years old.

In joining the Dividend Reinvestment Program, the stockholder will decide the amount of monthly and/or additional dividends (in percentage terms and in a multiple of 10) that they wish to reinvest and what type of share (common or preferred), giving the company the right to use the distributed profits that would be credited to their current account for the acquisition of Itaú Unibanco shares in the market.

What is share bonus?

What is share bonus?

It is when the company increases capital via the incorporation of reserves and gives bonus to the stockholders with new shares based on the number they already have.

Bonus shares may be assigned a cost for the purposes of the provisions in paragraph 1, Article 58 of the Federal Revenue Service Regulatory Instruction No. 1,585, of August 31, 2015, which generates tax benefits for stockholders.

Under the terms of Article 205 of the Civil Code, the stockholder’s right to claim the fractions of shares resulting from the share bonus lapses in ten (10) years after the date when they are made available to the stockholders.

What is the Asset (Shares/Closed funds or Debentures) underwriting service?

It is the custody service for your shares, closed funds or debentures. The underwriter is the institution engaged by the company that holds securities traded on the stock exchange to carry out the custody, updating, coordination of corporate events, payments of dividends, of interest on capital or earnings for FIIs, in addition to providing services to stockholders/quota holders. We have an integrated governance structure that connects responsibility and risks related to sustainability and climate under all aspects of our business. Our Environmental, Social and Climate Risk Policy establishes the guidelines and the fundamental principles for ESG risk governance and management, addressing the most relevant risks for our operation through specific procedures and decision-making and guidance forums.
